Parties

This Platform Participation & Data Services Agreement ("Agreement") is entered into between:

  • Provider: AgriPurpose AG, [Address] ("AgriPurpose").

  • Operator: [Legal name], [Address] ("Operator").

1 Purpose and scope

This Agreement governs access to and use of the AgriPurpose platform (including RegenerationDialogue tooling), data submission, and related support services. Platform participation is separate from certification.

2 Relationship to certification

  • The Approved Regenerating Standard and certification scheme are owned by AgriPurpose Foundation (scheme owner / standard setter).

  • AgriPurpose AG is the operational entity under licence from the scheme owner: it runs the programme and the data platform, performs the calculations and the annual validation, and coordinates the implementation with consultants, soil samplers, soil laboratories and Certification Bodies, who work at arm's length. It does not audit, certify, or make certification decisions.

  • Where the programme is certified, audits and certification are performed by an independent ISO/IEC 17065 accredited Certification Body under a separate certification agreement.

  • Platform participation does not grant any right to use the Approved Regenerating label.

3 Platform services

  • Account provisioning and access to the AgriPurpose portal.

  • Tools for data upload (field polygons, management, yields/inputs) and reporting exports.

  • RegenerationDialogue facilitation tools and documentation storage.

  • Customer support and onboarding (as agreed).

4 Operator responsibilities

  • Provide accurate data and keep records supporting annually submitted information.

  • Maintain secure access credentials and authorized users.

  • Comply with applicable laws when using the platform and sharing data.

5 Data rights and confidentiality

Operator retains ownership of its underlying operational data. Operator grants AgriPurpose a limited licence to process data for providing platform services. AgriPurpose will treat Operator data as confidential and apply appropriate security controls. AgriPurpose will collect, store and analyse farm data to provide the Farmer with tailored recommendations and to verify regenerative progress. The data may also be used internally by AgriPurpose and its research partners for product improvement, aggregated statistics and scientific research. Data will be treated confidentially and aggregated or anonymized when used for research and reporting. In case any data is used for any commercial product apart from the improvement of the AgriPurpose Farmer Services, the farmer will be informed about the opportunity and can decide if they want to share the data. This will be developed into the Farmer data wallet in the AgriPurpose interface.

6 Fees and payment

Platform fees, payment terms, and invoicing are specified in an attached commercial offer or order form.

7 Term and termination

This Agreement begins on the effective date and continues until terminated by either party with 90 days notice, unless otherwise agreed. AgriPurpose may suspend access for non-payment or misuse.

8 Liability

The platform is provided to support decision-making and reporting. Except as required by law, AgriPurpose disclaims warranties and limits liability to the extent permitted. Specific limits may be defined in the order form.

9 Governing law

Governing law and jurisdiction: Zug, Switzerland, unless otherwise agreed in writing.
