1 Parties

This Farmer Services & Reporting Agreement ("Agreement") is entered into between:

Provider AgriPurpose AG, Riedstrasse 13, CH-6330 Cham, Switzerland ("AgriPurpose")
Farmer / Operator [Legal name], [Address], [Country] ("Farmer")
Effective Date The date of the last signature.

2 Purpose and scope

This Agreement governs the Farmer’s participation in AgriPurpose’s platform services, annual reporting, and related support services in connection with the Approved Regenerating programme (the "Programme").

3 Relationship to certification and the label

  1. Scheme ownership and roles. The Approved Regenerating standard and certification scheme are owned and maintained by AgriPurpose Foundation (scheme owner / standard setter). AgriPurpose AG is the operational entity under licence from the scheme owner: it runs the programme and the data platform, performs the calculations and the annual validation, and coordinates the implementation with consultants, soil samplers, soil laboratories and Certification Bodies, who work at arm's length. AgriPurpose does not conduct audits or make certification decisions. The Farmer may use the status badges only while the farm is part of a certified programme, as set out in the Logo Use Guideline, and decides whether the farm is published in the online register.

  2. Separate certification agreement. Where the programme is certified, certification is performed by an independent ISO/IEC 17065 accredited Certification Body ("CB") under a separate certification agreement between the Farmer and the CB.

  3. No automatic right to use the label. Platform participation and this Agreement do not themselves grant any right to use the Approved Regenerating mark. The mark may only be used within the certified scope and validity period confirmed by a CB and in accordance with the Logo Use Guideline and listing in the online certificate holder register.

  4. Scheme participation fee as a label prerequisite. Payment of the Scheme Participation Fee (Section 7) is a prerequisite for AgriPurpose to maintain the Farmer’s active programme listing and related service deliverables. If the fee is unpaid, AgriPurpose may mark the Farmer as inactive/unlisted in the registry (without affecting the CB’s independent certification decision), and the Farmer must cease any label use and related claims until payment is restored.

4 Services provided by AgriPurpose

  1. Platform account provisioning and access to the AgriPurpose portal (including tools for data upload and exports).

  2. RegenerationDialogue tooling and storage of programme documentation (audio, transcription, summary) where applicable.

  3. Annual calculations and generation of the annual results report using the Approved Regenerating calculation logic and benchmarks, based on data submitted by the Farmer.

  4. Provision of an annual reporting package in the structure described in Annex 1 (including a PDF report export where available).

  5. Customer support and onboarding as agreed (email support; optional training packages by separate offer).

5 Farmer obligations

The Farmer shall ensure that all information submitted to the platform and provided for reporting is accurate, complete, and supported by records. The Farmer shall cooperate with audits and verification as required under the Programme and by the CB.

Minimum obligations include:

  • Field polygons: Upload accurate field boundary polygons for all eligible cultivated fields (excluding forests, infrastructure, waterbodies, and rock areas).

  • Annual data submission: Provide the required annual data set (yields; inputs such as fuel, energy, nutrients, water; crop-protection expenditure; livestock data where relevant) and retain supporting receipts/records.

  • RegenerationDialogue: Participate in the RegenerationDialogue process where required; ensure the session is recorded and that the stored summary is reviewed.

  • Soil sampling: Arrange soil sampling and laboratory analysis according to the SOC Sampling Protocol and Soil Sampling Coverage Rule (including minimum 25% field coverage until full coverage and the sampling cap), and ensure lab reports are retained.

  • Evidence and cooperation: Provide access to relevant documents and cooperate with reasonable verification requests and CB audits.

  • Compliance with all local laws, particularly in the areas of landownership and land lease, environmental regulations, water rights, as well as regulations for animal welfare, seed patents and biotechnology, regulations for agricultural work and workers safety. In addition, compliance with food safety regulations and label programs.

6 Reporting cycle and deliverables

  1. Annual cycle. Reporting is performed on an annual cycle aligned to the Programme rules. The Farmer submits the annual data set and supporting documentation; AgriPurpose processes the data and produces the report outputs.

  2. Delivery. Unless otherwise agreed in Schedule 1, AgriPurpose will deliver the annual report within 30 business days after (i) all required annual data have been submitted and (ii) required soil laboratory results for the reporting period have been uploaded, where applicable.

  3. Reporting template. The structure and minimum content of the annual report are described in Annex 1. Annex 1 is a template and may be updated for layout or clarity without changing the underlying programme logic.

  4. Audit readiness. The Farmer is responsible for maintaining records and evidence. AgriPurpose may provide an audit-readiness checklist as part of the reporting package (Annex 1).

7 Fees, payment terms, and rebates

  1. Scheme Participation Fee. The Farmer shall pay an annual fee of CHF 5.00 per eligible hectare per year ("Fee Rate"). Eligible hectares are the total eligible agricultural area (ha) uploaded in the AgriPurpose platform for the Programme scope, excluding non-eligible areas (e.g., forests, infrastructure, waterbodies, rocks). Unless stated otherwise, fees are exclusive of VAT or similar taxes.

  2. Invoicing and due date. AgriPurpose invoices annually in advance. Invoices are due within 30 days of the invoice date, unless another schedule is agreed in Schedule 1.

  3. Consequences of non-payment. Late payment may result in suspension of platform services, withholding of reports, and inactive/unlisted registry status (Section 3.4).

  4. Rebates and alternative payment arrangements. AgriPurpose may grant rebates or alternative payment arrangements that are documented in Schedule 1 (Order Form). Options include:

    • Percentage rebate: a discount expressed as a percentage of the calculated annual fee.

    • Split payment: payment in instalments (e.g., semi-annual or quarterly) with a defined due-date schedule.

    • Multi-year coverage: pre-payment for multiple years and/or additional years of coverage granted (e.g., pay for N years and receive N+X years).

8 Data rights, confidentiality, and data protection

  1. Data ownership. The Farmer retains ownership of its underlying operational data uploaded to the platform.

  2. Licence to process data. The Farmer grants AgriPurpose a non-exclusive licence to process the data as necessary to provide the services under this Agreement, including generating benchmarks, reports, and programme documentation.

  3. Aggregated/anonymized use. AgriPurpose may use aggregated or anonymized information derived from multiple farms for research, product improvement, and reporting, provided the Farmer is not identified without prior consent.

  4. Confidentiality and security. Each party will treat the other party’s Confidential Information as confidential and protect it with reasonable care. AgriPurpose applies appropriate technical and organisational measures for data security and complies with applicable data-protection laws.

9 Liability and disclaimers

  1. Decision support. The platform and reports are provided to support decision-making and credible reporting; they do not guarantee specific agronomic, financial, or certification outcomes.

  2. Limitation of liability. To the extent permitted by law, AgriPurpose’s total liability arising from or relating to this Agreement is limited to direct damages and shall not exceed the Scheme Participation Fee paid by the Farmer for the then-current annual term. AgriPurpose is not liable for indirect or consequential damage.

  3. Farmer indemnity. The Farmer will indemnify AgriPurpose against third-party claims arising from the Farmer’s material breach, misrepresentation, or unlawful conduct.

10 Term and termination

  1. Term. This Agreement starts on the Effective Date and continues for 12 months. It renews automatically for successive one-year terms unless either party terminates it in writing at least 30 days before the end of the then-current term.

  2. Termination for cause. Either party may terminate for material breach if the breach is not cured within 30 days of written notice. AgriPurpose may suspend services immediately for non-payment or misuse of the mark.

  3. Effect of termination. Upon termination, the Farmer’s access may be deactivated, and the Farmer must cease use of any marks or claims that require active listing and/or valid certification. Historical data may be retained for legal compliance and audit trail purposes.

11 Governing law and jurisdiction

This Agreement is governed by Swiss law. Exclusive jurisdiction is the competent courts of Zug, Switzerland, unless mandatory law provides otherwise.

12 Miscellaneous

Entire agreement: This Agreement, together with Annex 1 and Schedule 1, constitutes the entire agreement between the parties on the subject matter.

Order of precedence: In case of conflict, Schedule 1 prevails for commercial terms; Annex 1 prevails for reporting format; the main body prevails otherwise.

Assignment: The Farmer may not assign this Agreement without AgriPurpose’s prior written consent. AgriPurpose may assign to an affiliate or successor.

Amendments: Changes must be in writing. AgriPurpose may update platform procedures and templates for operational reasons without changing the agreed fee rate or Farmer obligations, provided the Programme logic is not altered.
